("OneRiot," "we" or "us") are governed by these Terms. By using the OneRiot Services, you consent to these Terms and the terms in our Privacy Policy and Add-on Privacy Policy. If you do not agree, you may not use the Services. Certain features of the Services may be subject to additional guidelines, terms, or rules, which will be posted in connection with such features.
WHAT WE DO
OneRiot makes its Services available to you by browser plugins and our website interface. Our Services are for personal, private, and noncommercial use only. OneRiot provides links to third-party websites ("Other Sites") as part of its Services. These Other Sites are run by their respective owners who are not affiliated with OneRiot and we do not sponsor, or endorse them. Once you leave the OneRiot website, we have no control over what you see and these Terms don't apply.
What You Should Do and Not Do
We may modify or terminate all or part of the OneRiot Services, or update these Terms, at any time without direct notice. Any such updated Terms will be effective: (a) immediately, if you are a new user of the Services as of the date the Terms are posted, and (b) thirty (30) days after the new Terms are posted to the OneRiot website, and your continued use of the Services after that time constitutes your acceptance of the updated Terms.
In addition to the foregoing, we may also terminate the Services to anyone at any time at our discretion. Actions that can cause your access to our site to be suspended or terminated include:
Do not access or attempt to access our Services through robots or automated agents. If we are made aware of such activity, we'll terminate your use of the Services.
You must use the Services in a manner consistent with any and all applicable laws and regulations. Don't engage in any conduct that is threatening, abusive, harassing, defamatory, libelous, deceptive, or fraudulent.
Do not attempt to gain unauthorized access to any services, user accounts, computer systems or networks, through hacking, password mining, or any other means.
Don't attempt to decompile, disassemble, reverse engineer or otherwise attempt to obtain the source code from the OneRiot Services. Don't infringe on the rights of others. If we are alerted that your conduct amounts to copyright, trademark or other forms of infringement, your access will be terminated.
Proprietary Rights
OneRiot owns and retains all proprietary rights in the Services. The Services contain the copyrighted material, trademarks, and other proprietary information of OneRiot and its licensors. Our provision of the Services does not transfer to you or any third party any rights, title or interest in or to such intellectual property, including, without limitation, any intellectual property rights in any OneRiot or third-party content. You hereby grant OneRiot a nonexclusive, perpetual, irrevocable license to copy, distribute, use, display, and perform, any content you provide to us.
Term
Subject to this Section, these Terms will remain in full force and effect while you use the Services. As we've said before, we may terminate these Terms, or suspend or terminate your access to the Services, at any time, at which point your right to access and use the Services will terminate immediately. You agree that we will have no liability to you for any costs, losses, damages, or liabilities related to our termination of the Services. Even after these Terms are terminated, the following provisions of these Terms will remain in effect: Proprietary Rights, Term, Disclaimer of Warranties, Limitation on Liability, Choice of Law, Disclosures, and General.
Disclaimer of Warranties
To the extent permitted under applicable laws, the Services are provided "As-Is") and as available and OneRiot expressly disclaims all warranties or conditions of any kind, express or implied, including without limitation the implied warranties of title, non-infringement, merchantability and fitness for a particular purpose. OneRiot does not guarantee and does not promise any specific results from the use of the Services. OneRiot makes no warranty that the Services will be uninterrupted, free of viruses or other harmful code, timely, secure, or error-free. You agree that OneRiot is not responsible for the timeliness, deletion, mis-delivery, or failure to store any communications. OneRiot does not assume any obligation to monitor activities conducted on the Services. Some jurisdictions do not allow the exclusion of implied warranties or limitations on how long an implied warranty may last, so the above limitations may not apply to you.
If you decide to download and/or or use OneRiot Add-ons, then you do so at your own discretion and risk. We make commercially reasonable efforts to make certain that our software is compatible with many systems, but we don't guarantee it. That means you are solely responsible for any damages to your computer system or loss of data that results from the download or use of a OneRiot toolbar or website.
Limitation on Liability
To the extent permitted under applicable laws, OneRiot shall not be liable to you, or any third party, for any lost profits, indirect, consequential, exemplary, incidental, special or punitive damages arising from your use of any Services, even if OneRiot has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, OneRiot's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the greater of (1) an amount equal to the amounts you paid to OneRiot; and (2) Fifty U.S. Dollars (US $50). The existence of one or more claims will not serve to enlarge this limit. You acknowledge and agree that the limitations of OneRiot's liability are (a) reasonable in light of your ability to use the Services at the fees charged by OneRiot (if any), and (b) essential and fundamental parts of these terms which are necessary to induce OneRiot to enter into these terms. Some jurisdictions do not allow the exclusion or limitation of liability, so the above limitation or exclusion may not apply to you.
Choice of Law
These Terms are an agreement between you and OneRiot and are governed and construed in accordance with the laws of the State of Colorado, without giving effect to principles of conflict of laws that would require the application of the laws of a different jurisdiction. By downloading and/or using the OneRiot Services, you agree to submit to jurisdiction in Colorado and further agree that any cause of action arising under these Terms may be brought in a court in Boulder County, Colorado.
Choice of Law
These Terms are an agreement between you and OneRiot and are governed and construed in accordance with the laws of the State of Colorado, without giving effect to principles of conflict of laws that would require the application of the laws of a different jurisdiction. By downloading and/or using the OneRiot Services, you agree to submit to jurisdiction in Colorado and further agree that any cause of action arising under these Terms may be brought in a court in Boulder County, Colorado.
